These Terms of Service (“Terms”) govern your use of the Orchestration Era platform (“Service”) operated by Orchestration Era (“we,” “us,” or “our”). By creating an account, you agree to these Terms.
1. Account & Eligibility
- You must be at least 16 years old to use the Service.
- You are responsible for maintaining the security of your account credentials.
- One person or entity may not maintain more than one free trial at a time.
- You are responsible for all activity under your account.
2. Organizations & Data Ownership
- Your data is yours. You retain all rights to the assessment data, roster information, and custom architectures you create in the Service.
- Organization owners control who has access to organization data and can remove members at any time.
- Each account may belong to at most one organization at a time. To move to a different organization, you must first leave your current one.
- We do not access your organization data except as needed to operate the Service, debug issues you report, or comply with legal obligations.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to other users’ accounts or data
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
- Use automated scripts or bots to access the Service
- Resell, sublicense, or redistribute the Service or its content
- Upload malicious content or attempt to compromise the security of the Service
4. Intellectual Property
4.1 Proprietary Content
The Service contains proprietary content created by Orchestration Era (“Proprietary Content”). Proprietary Content includes, but is not limited to:
- Built-in and marketplace job architectures, including their competency dimensions, level definitions, progression signals, behavioral expectations, example scenarios, and all other structured content within them.
- AI Maturity Assessment content, including the assessment domains, questions, scoring methodology, and roadmap generation framework.
- AI Briefing content, including the curated articles, editorial analysis, and per-article coaching guidance (business impact assessments, implementation difficulty ratings, and time-to-value estimates).
- The design, source code, documentation, and all other elements of the Service not explicitly identified as user content.
All Proprietary Content is protected by copyright. All rights reserved. You may not copy, reproduce, extract, republish, redistribute, or create derivative works from Proprietary Content, whether by manual transcription, automated means, screenshots, or any other method. This prohibition applies regardless of the format or medium. Proprietary Content is licensed for use solely within the Service and solely for your internal business purposes.
4.2 Your Content
- Custom architectures you create are your intellectual property. We claim no ownership over them.
- Assessment data, roster information, and other content you enter into the Service remains yours, as described in Section 2.
4.3 Marketplace Submissions
- When you submit a custom architecture to the Marketplace, you grant Orchestration Era a perpetual, non-exclusive, royalty-free license to host, display, and distribute that architecture through the Service. You retain full ownership of your work.
- This license survives account deletion: published Marketplace listings remain available to the community after your account is closed. Author attribution is anonymized upon deletion. If you wish to have a published listing removed, contact us at info@orchestrationera.com. Removal delists the architecture from the Marketplace; it does not affect copies already installed by other users.
- By submitting to the Marketplace, you represent that you have the right to grant this license and that your submission does not infringe any third-party rights.
5. Subscriptions & Billing
- The Service offers a 14-day free trial with all features enabled, subject to trial quotas (roster size, licensed managers, and AI usage). No credit card is required to start a trial.
- Paid plans are billed monthly or annually per person on your roster via Stripe, depending on the billing interval you select.
- You can upgrade, downgrade, or cancel your subscription at any time via the billing panel.
- Cancellation takes effect at the end of the current billing period. You retain access until then.
- Subscriptions are paid in full at the start of each billing period (monthly or annually). No refunds or credits are issued for unused time, including early cancellation or downgrades.
- Mid-period roster additions: when you add a person to your roster during an active billing period, Stripe calculates a prorated charge covering the new seat for the remainder of the current period and invoices it immediately using your default payment method. Roster removals take effect at the next renewal; no refunds or credits are issued for removed seats.
- If your subscription expires or is canceled, your account enters read-only mode. In read-only mode, all assessment data, growth plans, and coaching history remain visible. You cannot create or edit assessments, modify roster entries, or generate new AI content.
- After cancellation, your organization data may be retained for up to 12 months. You may resubscribe during this period to restore full access. After that, data may be permanently deleted.
- We reserve the right to change pricing with 30 days’ notice to existing subscribers.
6. AI Features
- AI-powered features include coaching plans, architecture generation, the AI Maturity assessment, the weekly AI Briefing, and the in-app help search. These features use third-party AI services. Our AI providers are contractually prohibited from training on inputs submitted through their APIs.
- For coaching plans and architecture generation, your assessment data is anonymized before transmission; person names are replaced with placeholders.
- AI-generated content is provided as suggestions and should not be treated as professional HR, legal, or management advice.
- AI features require explicit consent before first use and are subject to plan-based usage limits and rate limiting.
- Our engineering team uses AI-assisted development tools. When investigating production issues or maintaining the Service, customer data may be processed by these tools under commercial API terms that prohibit training on inputs. See our Privacy Policy for details.
7. Service Availability
- We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance or updates.
- We are not liable for any loss or damage resulting from Service downtime or data unavailability.
8. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
9. Account Termination
- You may delete your account at any time via Settings > Delete Account. This permanently removes your account and all associated data, except for published Marketplace listings which are retained under the license granted in Section 4 (with author attribution anonymized).
- We may suspend or terminate accounts that violate these Terms, with notice where practicable.
- Organization owners who wish to delete their account must first transfer ownership or remove all other members.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Orchestration Era shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use of or inability to use the Service
- Any unauthorized access to or alteration of your data
- Any third-party conduct on the Service
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email to account holders at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.
